Agreement to these terms
These Terms of Service ("Terms") are an agreement between you and TOOLSPACEX LLC ("TOOLSPACEX," "we," "us," or "our"). They govern your access to toolspace.xyz, TOOLSPACEX account services, and any product that links to these Terms (collectively, the "Services"). By using the Services, you agree to these Terms.
A product may have supplemental terms. If supplemental terms conflict with these Terms, the supplemental terms control for that product.
Eligibility and accounts
You must be legally able to enter into this agreement. If you use the Services for an organization, you represent that you have authority to bind that organization. You are responsible for providing accurate account information, safeguarding your credentials, and all activity under your account. Notify us promptly if you suspect unauthorized use.
Using the Services
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for their intended purpose. You must follow applicable laws and any instructions or usage limits presented within a Service.
You may not:
- Use the Services to violate law, infringe rights, deceive, harass, or harm others.
- Upload malicious code or attempt to disrupt, overload, or gain unauthorized access to the Services.
- Probe or circumvent security, access controls, rate limits, or technical restrictions.
- Copy, modify, sell, lease, reverse engineer, or create derivative works from the Services except where law expressly permits it.
- Use automated means to extract data or access the Services in a manner that places unreasonable load on our systems.
- Use outputs or content from the Services in a way that violates applicable law or another person's rights.
Your content
You retain ownership of content you submit to the Services. You grant TOOLSPACEX a limited, worldwide license to host, copy, process, transmit, and display that content only as reasonably necessary to operate, secure, and improve the Services, comply with law, and carry out your instructions.
You represent that you have the rights needed to submit your content and permit this processing. You are responsible for your content and for evaluating whether outputs are appropriate for your intended use.
Automated and AI-enabled features
Some Services may use automated systems or third-party artificial intelligence models. Outputs may be incomplete, inaccurate, offensive, or similar to content generated for others. Do not rely on outputs as professional, legal, medical, financial, or other expert advice. You are responsible for reviewing outputs before using or publishing them.
Paid features
Certain Services may require payment. Prices, billing intervals, renewal terms, usage allowances, and cancellation options will be shown at purchase. Unless stated otherwise or required by law, charges are non-refundable. Taxes may apply. Purchases made through an app store or other third party are also subject to that provider's payment and refund rules.
Third-party services
The Services may rely on or link to third-party services. We do not control those services and are not responsible for their content, availability, security, or practices. Your use of a third-party service may be governed by its own terms and policies.
Ownership and feedback
The Services, including their software, design, text, graphics, trademarks, and other materials, are owned by TOOLSPACEX or its licensors and are protected by law. Except for the limited right to use the Services under these Terms, no rights are granted to you.
If you provide suggestions or feedback, you grant us a perpetual, worldwide, irrevocable, royalty-free right to use it without restriction or compensation.
Service changes and termination
We may add, change, suspend, or discontinue a Service or feature. Preview and beta features may be changed or removed at any time. We may suspend or terminate access if you violate these Terms, create risk or legal exposure, fail to pay amounts due, or if continued access is no longer commercially practical.
You may stop using the Services at any time. Provisions that by their nature should survive termination will survive.
Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TOOLSPACEX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOOLSPACEX AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT YOU PAID TOOLSPACEX FOR THE APPLICABLE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.
Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless TOOLSPACEX and its affiliates, officers, employees, and agents from claims, damages, losses, and expenses arising from your content, your use of the Services, or your violation of these Terms or another person's rights.
Governing law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Services will be brought exclusively in the state or federal courts located in or serving Sheridan County, Wyoming, and you consent to their jurisdiction and venue.
Changes and general terms
We may update these Terms. We will post the revised Terms and update the effective date. Continued use after revised Terms take effect means you accept them. If a provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with our business. These Terms and applicable supplemental terms are the entire agreement regarding the Services.
